Terms and Conditions of Sale
For Woodgrain Millwork, Inc.
This document modifies all prior terms of sale unless timely objections to modification is made in writing to Woodgrain. Any purchase made subsequent to the receipt of these Terms and Conditions of Sale constitutes your consent to these Terms and Conditions of Sale.
Payment Terms
Terms of payment will be 1% 10 days after date of invoice, Net 11 days unless otherwise agreed in writing by Woodgrain. Specific terms, particular to your account, will be sent with your price quote.
General Service
Products are normally shipped direct to customers.
Service Routes and Lead Time Requirements
Woodgrain has established service route(s) for each market. Customers within the covered service route will normally receive one delivery per week on a scheduled day.
Woodgrain requires a minimum of 5 business days prior to shipment for each order to insure adequate time for processing and manufacturing orders. Lead-times may be longer for some customers and product lines. Special orders will require longer lead times.
Special Orders
Special order products are determined based on stock availability, volume being purchased, special processing, certain laminates, no available recovery option, size of profile, type of substrate, and various other aspects. These items as they apply to your account will be defined in a separate attachment with the special conditions noted.
Freight
Freight will be FOB customer facility for customers who (1) are on a normal Woodgrain service route, (2) , and allow for the standard agreed upon lead-time. For those customers on a service route, Woodgrain will normally make one delivery per week on a scheduled day. Customers outside the service route(s), or those within who don’t meet minimum purchase levels or standard lead-times, may be quoted FOB mill or distribution center nearest to customer’s location, and the day of shipment will vary based on lead times. Charges for rush deliveries not due to a Woodgrain or distributor deficiency will be the responsibility of the customer.
Returns/Credits/Deductions
Returns or credits for any claimed error against Woodgrain for order entries, order processing, or shipping errors must be reported within 10 days of date of invoice and verified by a Woodgrain representative.
Returns for nonconforming product must be previously authorized in writing and quantities verified by a Woodgrain representative. Claims for nonconforming product must be made within 10 days from the date of invoice or customer waives any claim.
Claims for damages must be made within 7 days and must be noted on Woodgrain’s copy of the shipping document at the time of delivery. Signature of receiving person on the bill of lading is considered proof that material was delivered as specified on the shipping document. Any discrepancies or shortages must be noted on the bill of lading at the time of delivery. Woodgrain will retain the original document and the customer will be given a copy. Woodgrain’s copy will be considered the original document in all cases.
Deductions from invoices are not authorized. Woodgrain is committed to quick resolution of issues within 20 days from the date of the written complaint.
Backorders
Woodgrain will make every effort to notify you in advance if an order can not be delivered complete and on time and will work with you to establish a new delivery schedule.
Cancellations
Cancellations of orders will only be accepted prior to the beginning of the production process and must be acknowledged by a Woodgrain Representative.
Field Claims
Claims for warranty work must be communicated to Woodgrain by the manufacturer or service center, prior to the work being done.
Any claim must be communicated within one year of the sale of the home.
Woodgrain must be given the opportunity to inspect the damage and obtain pictures or samples of the defects.
Woodgrain may waive the inspection or other requirements based on the size of the claim. Payment of any claims will be made to the manufacturer or service center. Woodgrain will send replacement material where necessary but may choose to replace with another product depending on the defect and availability of product.
Service parts
Service parts are available while the part is actively sold for new construction. Afterwards, service parts are a special order and subject to availability of materials. A paint and print match may be required for a part that was previously laminated.
